1. INTRODUCTION AND ACCEPTANCE
1.1. This Mobile Application with the name of Udhaari ("App/Udhaari") is operated by Quasars Fintech Private Limited("/We/Our/Us"). These Terms of Use ("Terms") govern your access to and use of the App and the services offered through it (collectively, the "Services"). Please read these Terms carefully before using the App.
1.2. By downloading, installing, accessing, registering for, or otherwise using the App, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not download, access, or otherwise use the App.
1.3. These Terms constitute a legally binding agreement between you and Us. They are an electronic record generated by a computer system and do not require any physical or digital signature.
1.4. We may amend these Terms at any time. When we make changes, we will update the "Last Updated" date above. Your continued use of the App after any such change constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the App.
2. DEFINITIONS
2.1. "User", "you" or "your" means any person who downloads, accesses, registers for, or uses the App.
2.2. "Content" means any data, text, information, financial records, loan or debt entries, contact details, or other material that you enter into, upload to, or generate through the App.
2.3. "Subscription" means any paid plan that provides access to premium features of the App for a defined period (the "Subscription Term").
3. ELIGIBILITY
3.1. You must be at least 18 years of age, or the age of majority in the jurisdiction in which you reside, and competent to enter into a binding contract under applicable law, to use the App.
3.2. If you are under the age of 18 or the age of majority in the jurisdiction in which you reside, you may only use the App with the consent and supervision of your parent or legal guardian. By using the App, you represent and warrant that you meet these eligibility requirements.
4. NATURE OF THE SERVICE
4.1. Udhaari is a personal finance management and loan-tracking platform. It is intended to help you record, organise, and track loans, debts, EMIs, and related financial information for your own informational purposes.
4.2. We do not provide lending services, do not determine credit eligibility, do not underwrite loans, do not process payments, and do not access your bank accounts. We are not a bank, non-banking financial company, lender, financial advisor, or intermediary. Any financial data processed within the App is provided directly by you for informational and tracking purposes only.
4.3. Nothing in the App constitutes financial, investment, legal, tax, or accounting advice. You are solely responsible for the accuracy of the information you enter and for any decisions you make based on the App.
5. ACCOUNT REGISTRATION AND SECURITY
5.1. To use certain features of the App, you must create an account and provide accurate, current, and complete information. You agree to keep such information updated.
5.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must not share your OTPs, password or reuse passwords from other accounts.
5.3. You must notify Us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to safeguard your credentials.
6. LICENSE TO USE THE APP
6.1. Subject to your compliance with these Terms, We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download and use the App on a device that you own or control, solely for your personal, non-commercial use.
6.2. This license does not permit you to, and you agree not to, copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law.
7. USER RESPONSIBILITIES AND ACCEPTABLE USE
7.1. You agree to use the App only for lawful purposes and in accordance with these Terms. You are solely responsible for the Content you enter into the App.
7.2. You agree not to:
7.2.1. Use the App in any way that violates any applicable law or regulation;
7.2.2. Upload, store, or transmit any Content that is unlawful, fraudulent, defamatory, infringing, or that you do not have the right to store or share;
7.2.3. Add another person's contact details without having a legitimate basis and, where required, their consent to record such details for a loan or debt;
7.2.4. Attempt to gain unauthorized access to the App, other users' accounts, or any systems or networks connected to the App;
7.2.5. Introduce any viruses, malware, or other harmful code, or otherwise interfere with or disrupt the integrity or performance of the App;
7.2.6. Use any robot, spider, scraper, or other automated means to access the App or extract data, or otherwise use the App for any commercial purpose without Our prior written consent.
7.3. We reserve the right, but are not obligated, to monitor, restrict, or remove any Content or to suspend or terminate any account that we reasonably believe violates these Terms.
8. USER CONTENT
8.1. You retain ownership of the Content you enter into the App. You are responsible for ensuring that your Content is accurate and lawful.
8.2. You grant Us a limited license to host, store, process, and display your Content solely for the purpose of providing and improving the Services to you, in accordance with our Privacy Policy and applicable law.
8.3. The manner in which We collect, use, store, and protect your personal data is described in our Privacy Policy, which forms an integral part of these Terms.
9. THIRD-PARTY SERVICES AND LINKS
9.1. The App may contain links to, or integrate with, third-party websites, applications, or services that are not owned or controlled by Us.
9.2. We do not endorse and are not responsible for the content, products, services, terms, or privacy practices of any third party. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.
10. SUBSCRIPTIONS, FEES AND PAYMENTS
10.1. Certain features of the App may be offered on a paid Subscription basis. The applicable fees, billing cycle, and features will be disclosed to you at the time of purchase.
10.2. Payments are processed through third-party app stores or payment providers. Your purchase may also be subject to the terms and policies of the relevant app store or payment provider.
10.3. Unless otherwise stated, Subscriptions may renew in accordance with the terms disclosed at the time of purchase. You are responsible for managing and, where available, cancelling renewals through your app store or account settings.
11. REFUND POLICY
No Early Termination; No Refunds. The Subscription Term will end on the expiration date and you cannot cancel it before its expiration. We do not provide refunds if you decide to stop using the Udhaari subscription during your Subscription Term, except where a refund is required under applicable law or the policies of the relevant app store.
12. INTELLECTUAL PROPERTY
12.1. The App, including its software, design, text, graphics, logos, trademarks, and all other materials (excluding your Content), is owned by or licensed to Us and is protected by applicable intellectual property laws.
12.2. Except for the limited license granted to you under these Terms, no right, title, or interest in or to the App is transferred to you. You must not use Our trademarks, logos, or brand features without Our prior written consent.
13. DISCLAIMERS
13.1. The App and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by applicable law.
13.2. We do not warrant that the App will be uninterrupted, error-free, secure, or free from viruses, or that any calculations, reminders, or outputs generated by the App will be accurate or complete. The App is a tool to assist you and does not replace your own judgement or professional advice.
14. LIMITATION OF LIABILITY
14.1. To the maximum extent permitted by applicable law, We, our directors, officers, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the App.
14.2. To the maximum extent permitted by applicable law, Our total aggregate liability arising out of or in connection with these Terms or the App shall not exceed the amount paid by you to Us for the Services in the twelve (12) months preceding the event giving rise to the claim, or, where no such amount has been paid, INR 1,000.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Us and our directors, officers, employees, affiliates, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your Content, your use or misuse of the App, or your breach of these Terms or any applicable law.
16. SUSPENSION AND TERMINATION
16.1. We may suspend or terminate your access to the App, in whole or in part, at any time, with or without notice, if we reasonably believe that you have violated these Terms or applicable law, or to protect the App, other users, or third parties.
16.2. You may stop using the App and delete your account at any time through the account settings within the App. The handling and retention of your data following account deletion is described in our Privacy Policy.
16.3. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply after termination.
17. CHANGES TO THE APP AND SERVICES
We may modify, suspend, or discontinue any part of the App or Services, and may add or remove features, at any time and without liability to you. We will endeavour to provide reasonable notice of material changes where practicable.
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
18.2. Subject to applicable law, the courts having jurisdiction shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the App. The parties shall first attempt to resolve any dispute amicably through good-faith discussions before initiating formal proceedings.
19. MISCELLANEOUS
19.1. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
19.2. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign these Terms without Our prior written consent; We may assign these Terms in connection with a merger, acquisition, or sale of assets.
19.3. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Us regarding the App and supersede any prior agreements.
